Corporate Filings
There are differences in corporate filings, whether it be an S Corp, “typical” incorporation, LLC, partnership, or nonprofit. The advantages and disadvantages are weighed and discussed, and options are presented to tailor your corporation to fit your particular situation. Legal guidance is provided to assist your process in initial organization of your company, annual reports, name reservations, dissolutions, etc.

Consumer Protection
Consumer protection laws are designed to ensure fair competition and the free flow of truthful information in the marketplace. The laws are designed to prevent businesses that engage in fraud or specified unfair practices from gaining an advantage over competitors and may provide additional protection for the weak and those unable to take care of themselves. There are two important components of the Massachusetts Consumer Protection Act, chapter 93A. One is section 2 of the Act which relates to situations where a consumer maintains a claim against a business; and section 11 which relates to a claim by one business against another business.

Contracts
A contract is a legally enforceable agreement between two or more parties. The core of most contracts is a set of mutual promises based on, in legal terminology, "consideration"). The promises made by the parties define the rights and obligations of the parties. Contracts are enforceable in court. If one party meets its contractual obligations and the other party doesn't ("breaches"), the non-breaching party is entitled to relief.
